This Indenture made and entered into this second
day of May Anno Domini Eighteen hundred and fifty
six, between the Florida Rail Road Company of the State of
Florida, party of the first part, and James T. Soutter of
the City and State of New York and John McRae of the
City of Wilmington and State of North Carolina of the
second part, Witnesses
          That Whereas the said Company party of the first 
part, in the construction of the Rail Road now being built by
them, may have occasion to issue bonds to an amount
not exceeding Fifteen hundred thousand dollars, all of which
bonds will bear date on the first day of March now last
past, will be payable in the City of New York on the first
day of March Eighteen hundred and ninety and, will
bear an interest of eight per centum per annum, pay-
able in like manner in the City of New York, semiannually
on the first day of March and September in each year,
and will be each for the Sum of One thousand dollars
     And whereas also the said parties of the first
part are the owners in fee of the lands on which the towns
of Fernandina and Cedar Key the terminal points of the
said road are situated together with about four hundred
thousand other acres of other lands lying within Six
miles of the said road, along the line thereof, and is
desirous to secure the prompt payment of the principal
and interest of the above described bonds, as well by a
conveyance of the said town sites and lands, as by a
mortgage upon their Road, Depots, Stations, equipments, fran-
chises and appurtenances.  Now therefore in Consideration
of the premises, and in further Consideration of the Sum of
Five Dollars to the said party of the first part in hand paid
by the said parties of the second part
^the receipt whereof is hereby acknowledged, the said party of
the first part, hath given, granted, aliened, bargained, sold
remised, released, conveyed and confirmed, and doth by
these presents, give, grant alien bargain, sell, remise, release, con-
vey and confirm unto the said parties of the second part, all
and Singular their Roadway now constructed, or to be hereafter constructed with their
depots, stations, cars, locomotives and equipment, now
constructed purchased or to be hereafter constructed purchased, and
all the appurtenances of said road, and the franchises of
said Company: Also all and Singular those several pieces
or parcels of land, lying being and situate in the Island
of Amelia, in the County of Nassau and State of Florida, em-
bracing the site of the present town of Fernandina, the
eastern terminus of the said Florida Rail Road, which said
lands were designated in the conveyances to the said Florida
Rail Road Company by the following descriptions, Viz:
The Louisa or Eliza plantation, containing Six hundred
and twenty five acres more or less; the Yellow Bluff tract
containing two hundred and fifty acres; Also the tract
of land known as the Long tract, or Section twenty three,
also the tract of land known as the Capo or Bachelot tract
land, or section twenty four, which two last mentioned tracts
