"Mortgage"
This Indenture, made and entered into this first
day of February, in the year one thousand eight hundred
and Eighty Two by and between The Florida Transit
and Peninsular Railroad Company, a Corporation cre-
ated and existing under the laws of the State of Florida
party of the first part, and the Union Trust Company
of New York party of the second part:
Whereas a Railroad Company known as the Florida
Transit Railroad Company was duly incorporated
under and by virtue of the laws of the State of Florida
which Company owned the railroad extending from
Fernandina to Cedar Keys in said State;
And Whereas, the said Railroad Company for the pur-
pose of paying its debts and equipping its road
issued its bonds for the sum of one thousand dollars
each amounting in the aggregate to the principal
Sum of One Million dollars and numbered from one (1)
to one thousand (1000) both inclusive all of which bonds
bear date the 10th day of May 1881 and one secured by
deed of Trust or mortgage of the Same date executed by
said Railroad Company to Louis H. Meyer of New York City
Trustee and duly recorded in the State of Florida Conveying
the road franchises and property real and personal
and the right of way of the said Company.
And Whereas, a Certain other railroad Company was duly incor-
porated under and by virtue of the laws of the stste of Florida
by the name of The Peninsular Railroad Company to Con-
struct and operate a railroad from Waldo on the line of
the said Florida Transit Railroad Southwardly to Ocala
in Marion County with a branch to Silver Springs a dis-
tance of fifty miles or thereabouts.
And Whereas, the said Peninsular Railroad Company, for the
purpose of building its road, heretofore issued its bonds for
the sum of one thousand dollars each amounting in the
aggregate to the principal sum of Two hundred and fifty
thousand dollars and numbered from one (1) to two hun-
dred and fifty (250) both inclusive, all of which said
bonds bear date the 24th day of May 1876 and are Se-
cured by deed of trust or mortgage executed by said Rail-
road Company to George T.M. Davis of New York Trus-
tee and duly recorded in the State of Florida Conveying
the railroad and franchises of said Company.
And Whereas a Certain other railroad Company was duly organ-
ized under and by virtue of the laws of the State of
