 meantime which can only be done by the
 consent of both parties; and further agrees to fur-
 nish sufficient money for its prudent and proper man-
 agement the amount so furnished to be determined
 by the party of the second part - should the expenses
 of the working of said Grove at any time exceed
 the receipts from the Same consequent on the failure
 of Crop or any other cause than gross mismanage-
 ment by the party of the second part it is agreed
 and understood between the said parties that no
 part of such deficit Shall fall upon the party
 of the second part. It is further agreed between
 the said parties that should the said property de-
 crease in value and become of less value than
 twenty Thousand dollars no part of such
 Shrinkage shall be borne by the party of the second
 part. And the parties of the first and second
 part agree together upon the terms hereinbefore
 recited. In testimony whereof they have hereunto set
 their hands and seals the day and year first above

 And whereas the said parties to the Said agreement
 have mutually agreed and hereby mutually
 agree to rescind the Said Agreement and to mutually
 release and discharge each other from all liabil -
 ities duties Conditions and Contracts Contained therein
 both in law and equity including all demands to
 this date:
 Now therefore for and in Consideration of the release
 to the said Wm R. Penniman of all claim by the 
 said J. Adger Clark his heirs and assigns for the
 performance of the duties obligations and things
 imposed on him the said Wm R. Penniman by
 the said Agreement and in further Consideration
 of the sum of Fifteen hundred dollars to the said
 Wm R. Penniman and Julia S. Penniman
 his wife have hereby bargained sold released
 and forever quit-claimed unto the Said J. Adger Clark
 and his heirs and assigns all estate interest right
 and title of every kind whatsoever in and to the
 property mentioned and described in the agree-
