but in the absence of the President and Vice President
              at any regular meeting of the Directors or Stock holders,
              they shall elect, one of their Members to preside pro tem
Article 2nd   The Corporal Stock of this Company Shall be One hun
              =dred thousand Dollars divided into Shares of One
              hundred dollars each, and the Same may be increased
              from time to time as the law requires and the Board of
              Directors may deem expedient
Article 3rd   That in all Elections for Officers or directors the Share
              holders may vote in person or by proxy - and Shall be entitled
              to one vote for each Share owned by them upon which all
              assessments have been paid, and in case of a Vacancy on
              the Board of directors they may be filled by the rema
              =ining members of the Board; and in case a vacancy occ
              uring in either of the Officers of this Company, the Board of
              directors Shall call a meeting of the Stock holders for
              the purpose of filling such vacancy, first giving at
              least forty days notice of said Election, untill Such
              Special Election Shall take place the Board of directors
              Shall fill Such Vacancy with one of their own members
Article 4th   The work Shall commence and the first ten miles of
              the road Shall be built at its Southern terminus, and
              the Directors for the purpose of building, Equiping and
              operating Said Tampa Rail Road and hereby authorized
              to firm Confirmation and Cooperate with the Florida
              Rail Road Company or any other Rail Road or
              Corporation And the President and directors of this
              company Shall open Books for Subscription to the
              Capital Stock of this Company, at Such times and
              places, and in Such manner, and under the direction
              of Such persons as they may deem for the best interest
              of the Company --
Article 5th   The President and directors of this Company Shall do
              and perform all acts not herein or in the by Laws of
              the Company provided for necessary or requisite in
              order to comply more fully with the said act of the
              Legislature of the State of Florida, approved by the
              Governor on the Eight day of August One thousand
              Eight hundred and Sixty Eight, Entitled an act to
              provide for the Creation of Corporations and to prescribe
              their general powers & liabilities
Articles 6th  All Matters and things not here provided for
              necessary for the purpose of Laying out, building
              and Equipping Said Tampa Rail Road Shall
              be provided for in the Laws of this Company
