Edward N. Dickerson and Charles D. Willard^To The Florida Transit Railroad Company
                          Deed
This Indenture made and entered into this tenth day of May AD 1881
by and between Edward N. Dickerson and Charles D. Willard Trustees
party of the first part and The Florida Transit Railroad Company of the
State of Florida party of the second part Witnesseth: That Whereas
under and by virtue of a Decree of the United States Circuit Court for
the Northern District of Florida dated the 27th day of December 1880 rendered
in a cause pending in that Court in which John A. Steward and
Frederick A. Conkling Trustees were complainants and the Atlantic
Gulf and West India Transit Company were defendants. And whereas
under and by virtue of the provisions of said decree the said rail
road its property, depots, workshops franchises rights privileges
and appurtenances of every name and nature were duly sold at public
auction by Phillip Walter Esq: a Special Master of the said Court who
was duly appointed by the Court under said Decree to sell said Rail
-road property on the 7th day of February 1881 at the City of Fernandina
Florida. And Whereas at said sale the said party of the first part to wit
Edward N. Dickerson and Charles D. Willard Trustees were the highest
bidders at said sale and were declared to be the purchasers of said
property. And Whereas the said sale was duly reported to the said
Circuit Court of the United States for the Northern District of Florida;
And whereas the said Court did then and make its decretal order duly
confirming the said sale in all respects, and did direct said Phillip
Walter Esq: Special Master to make a deed of conveyance of the said
rail road property to the said Edward N. Dickerson and Charles D.
Willard Trustees; And Whereas the said Phillip Walter Esq: Special
Master did make his conveyance conveying the said Railroad property
its depots workshops lands franchises and appurtenances of every name
and nature whatsoever to the said Edward N. Dickerson and Charles
D. Willard Trustees Now therefore this Indenture Witnesseth: that the
