regulations and restrictions as the said Trustees may pres
cribe for the public good and the said Trustees shall imm
ediately frame and adopt such by laws and constitution
as shall best subserve the purposes intended by this convey
ance and shall perpetuate the organization by such provis
ions in said constitution and by laws as shall imperatively
demand the filling instanter of any vacancy that may
occur in said Board of Trustees by death regulation
removal or otherwise Provided nevertheless that if the Board
of trustees shall fail to fill the vacancy occurring in said
Board from any of the causes above enumerated
or from any cause whatever then it shall be the
right of a majority of the stockholders to have said
vacancy or vacancies filled by recommending some
good and fit person or persons who shall be a
stockholder or stockholders for the vacant place
to the Mayor of the town of Waldo who shall be
empowered to appoint such Trustee or Trustees and the
person or persons so recommended and appointed
shall immediately upon receiving the appointment
become a Trustee of Laurel Grove Cemetery and be
vested with all the rights and powers incident to the
position under the by laws and constitution Provided
further that all such vacancies when filled shall be certify
ied to the Clerk of the Circuit Court of the County of Alachua
together with the date of appointment under the seal
of the town of Waldo and the same shall become
a matter of record in said Circuit Court and the said
parties of the first part do hereby covenant with
the said Geo H. Ambrose T.A. Peck R.W. Campbell Ned E. Ferr
ell and Saml J. Kennard Sr Trustee and their successors
that themselves their heirs Executors and admin
istrators shall warrant and defend the title to the afore
said premises against the claim of themselves and
all other persons whomsoever In witness whereof
the said parties of the first part have hereunto set
their hands and affixed their seals on the day
and year first herein written
