TO ALL WHOM THESE PRESENTS SHALL COME- GREETING:
WHEREAS, W.B. Phifer, S.F. Waits, S.D. Prince, H.L.
Phifer and J.A. Phifer, on the first day of August, A. D. 1907, filed in the office of
the Secretary of State a proposed charter of a corporation to be known as the W.B.
P H I F E R C O M P A N Y with a capital of ONE HUNDRED THOUSAND ($100,000.00) DOLLARS
FOR THE PURPOSE OF BUILDING? OWNING AND OPERATING SAW MILLS? DRY KILNS AND THEIR APPURTE-
NANCES; tram roads and logging plants; to buy, manufacture, sell, or otherwise deal in
lumber of all kinds, cross ties, wood shingles and laths; to make and manufacture, buy,
sell and deal in turpentine, rosin, naval stores, gum, tar, charcoal, and other products
and by-products from timber, pine trees, wood and stumps; to buy, operate, sell, own
build and operate retorts, machines and machinery, and other devices for the manufacture
of turpentine, rosin, tar and other products from pine trees, wood and stumps; to run
own and operate stores, commissaries, etc.: to engage in the mercantile business; to
purchase, own and hold land, timber and timber privileges, by deed, lease, timber permits
and other form of contract, and to sell, lease, mortgage or otherwise dispose of the same
to acquire, own, hold, use, mortgage, lease, sell, and convey property of all kinds, real
personal and mixed, including stocks and bonds; to loan money, to borrow money. and secure
same by mortgage to secure debt, bond or other obligation therefor; to receive payment for
the capital stock of the corporation in money at a just valuation to be fixed by the
board of directors; to make contracts of all and every kind incident to and for the furth-
erance of its purposes and business, including contracts and debts between said corporati-
on and individuals and other corporations; to make such bylaws as may be deemed best, and
generally to exercise, enjoy all powers incident to the conduct and purposes of the said
corporation, and to have, exercise and enjoy all rights, power and privileges incident
to corporations organized and existing under and by virtue of the laws of the State of
Florida, and have published due noticethereof and have otherwise complied with the
statute in such case made and provided.
THEREFORE, THE STATE OF FLORIDA HEREBY INCORPORATES theabove named persons, their
associates and successors, into a body politic and corporate in deed and in law by and
under the said name of the W.B. P H I F E R C O M P A N Y and grants unto them full
authority to exercise the powers and privileges of a corporation for the purposes above
stated, in accordance with said charter, and the Laws of this State.
IN WITNESS WHEREOF, These presents have been attested with the Great Seal, and
signed and countersigned by the Governor and Secretary of State of the State of Florida,
at tallahassee, the Capital, this the twenty-eighth day of September, A.D. 1907.
