                     Notice is hereby given that the undersigned will apply to the
Governor of the State of Florida, at Tallahassee, the capital of Florida, on
the twenty-eighth day of August, A. D. 1907, for Letters /Patent incorporating
W. B. PHOFER? COMPANY, under the following proposed charter.

        PROPOSED  CHARTER  OF  W.B. PHIFER  COMPANY

     The undersigned do hereby associate themselves together for the purpose
of becoming incorporated under the laws of the State of Florida, for the
transaction of business under the following charter:
                     Article 1.
     The name of this corporation is W.B. PHIFER COMPANY. its principal office
shall be in the city of Gainesville, Alachua County, Florida, and its business
shall be conducted in Alachua County, and in other counties and places in the
State of Florida, and elsewhere, through offices, branches, agencies or other
wise, as may be necessary.
                     Article 2.
     The general nature of the business to be conducted, transacted and en-
gaged in by this corporation shall be to build, ownand operate saw mills,dry
kilns, and their appurtenances,tram roads and logging plants; to buy, manufact-
ure, sell or otherwise deal in lumber of all kinds, cross ties, wood shingles
and laths; to make and manufacture, buy, sell and deal in turpentine, rosin,
naval stores, gum, tar, charcoal, and other products and by-products and from
timber, pine trees, wood and stumps; to buy, operate, sell, own, build and
operate retorts, machines and machinery, all other devices for the manufacture
of turpentine, rosin, tar, and other products from pine trees, wood and stumps
to own, run and operate stores, commissaries, etc.; to engage in the mercantile
business; to purchase, own and hold land, timber and timber privileges by deed
lease, timber permits or other form of contract, and to sell, lease,mortgage
or otherwise despoes of the same; to acquire, own, hold, use, mortgage, lease,
sell, and convey property of all kinds, real, personal and mixed, including
stocks and bonds; to loan money, to borrow money, and secure same by same
mortgage to secure debt, bond or other obligation therefore; to receive payme-
nts for the capital stock of the corporation in money or property at a just
valuation to be fixed by the board of directors; to make contracts of all and
every kind incident to and for the furtherance of its purposes and business,
including contracts and debts between said corporation and individuals and
other corporations; to make such by-laws as may be deemed best, and generally
to exercise, enjoy all powers incident to the conduct and purposes of the said
corporation; and to have, exercise and enjoy all rights, powers and privileges
incident to corporations organized and existing under and by virtue of the
laws of the State of Florida.
                     Article 3.
     The amount of capital stock of this corporation shall be ONE HUNDRED
