THOUSAND DOLLARS, divided into one thousand shares of the par value of ONE HUNDRED
DOLLARS each. The capital stock shall be subscribed for and ten per cent paid in before s
said corporation shall transact any business. All or any part of the capital stock of s
said corporation may be payable in or issued or used for the purchase of property, labor
or services at a just valuation thereof to be fixed by the board of directors at a meet-
ing to be called for that purpose.
Article 4.
this corporation shall continue, exist and have full power to exercise its corporate
rights and franchises for the period of ninety-niine years from the date of its corporate
existence.
Article 5.
The business of said corporation shall be managed by a president, a vice-president,
a secretary, a treasurer, and a board of directors consisting of five (5) members. The
office of secretary and treasurer may be held by the same person, and the directors may
be increased to not more than seven (7) if the by-laws so provided.
The annual meeting of the election of officers by the stock holders of the corpora-
tion shall be held on the first tuesday in January of each and every year. The stockhol-
ders shall meet on the first Tuesday in January A. D. 1908, for the first annual meeting
of the corporation, in the city of Gainesville, Florida, and until the officers of said
corporation are elected at the first regular meeting in January, A. D. 1908, the business
of this corporation shall be conducted by the following named officers.
W.B. Phifer as President;
S.F. Waites as Vice-president;
S.D. Prince as Secretary and Treasurer;
and W.B. Phifer, J.A. Phifer, H.L. Phifer, S.F. Waites and S.D. Prince as
Directors.
Article 6.
The highest amount of indebtedness or liability to which this corporation may
at any time subject itself shall be One thousand Dollars.
The names and residences of the subscribing incorporatiors together with
the number of shares of its capital stock subscribed by each, are as follows:
W.B. Phifer, Gainesville, Fla., 250 shares;
H.L. Phifer, Gainesville, Fla., 125 shares;
S.D. Prince, Phifer, Fla., 50 shares;
S.F. Waits, Grove Park, Fla., 50 shares.
