PROPOSED ARTICLES OF INCORPORATION OF THE HAWTHORNE TRADING CO.
We, the undersigned, hereby associate ourselves together for the purpose of becoming in-
corporated under the laws of the State of Florida applicable to corporations for
profit.
ARTICLE 1.
NAME. The name of this corporation shall be HAWTHORNE TRADING COMPANY and its 7/8 princi-
pal of business shall be in Hawthorne, Alachua County, Florida, but it may establish
offices, agents and stores in any other place or places in or out of the State of
Florida.
ARTICLE 2.
BUSINESS. The general nature of the business to be transacted by this corpora-
tion is:
1st. To establish and carry in all or any par of the business of buying and selling
either as wholesale or retail or both, any and all of the following classes of merchandise
to wit: dry goods, notions, boots, and shoes, hats and wearing apparel generally, linen
and cotton goods, silk, furs, laces and generlally and without limitation all articles of
merchandise usually sold or which may be conveniently sold in connection with the
merchandise hereinbefore referred to.
2nd. To buy, sell and deal in, both by retail and wholesale, millinery, garments and waer-
ing apparel generally, furniture, coffins, iron and glass ware, crockery and oter house-
hold fittings and utensils, bric-a-brac and ornaments generally, stationery, nortions and
fancy goods, jewelry, gold and silver, plated ware, watches and precious stones, meats and
provisions generally drugs, chemcial, perfumery, soap and toilet articles generally books
papers, magazines, nmusical, instruments, bicycles and tricycles, fertilizers, saddlery
and harness and sporting goods, milk, cream, butter, eggs and cheese and dairymen's products
generally, as well as produce of any and all kinds. To lend and borrow money, to acquire
proper securities and to execute and deliver proper securities therefor; to acquire
own and dispose of all kinds of real and personal property.
3rd. To buy, sell and deal in, both by retail and wholesale, groceries, grains and feed
stuffs of every description.
4th. To do a general jobbing commission and consignment business, to buy, own, sell and
control and improve real estate; to buy, sell and handle mules, horses and live stock of ev
every description; to buy, own and control ware rooms and other buildings necessary for
the purpose of the business herein authorized.
5th. To do any and all things necessary and requisite for carrying out the purpose
of this organization.
ARTICLE 3.
CAPITAL STOCK. The amount of the capital stock of this corporation shall be
$5,000.00 (with the privilege of increasing same in the manner provided by the laws of
the State of Florida, to $10,000.00) divided into fifty shares of the par value of
$100.00 each, all of which capital stock shall be payable in cash.
ARTICLE 4.
The term for which this corporation shall exist is ninety nine years.
ARTICLE 5,
The business of this corporation shall be conducted by a president, a vice-president, a
secretary and treasurer, a general manager. Provided, that any two of the foregoing offices,
except the office of the president, may be held by one and the same stockholder, and a board |
