the products of the same, the buying and selling, cutting
manufacturing and transportating timber, lumber, and
like property and the products thereof, and acting as
agents and brokers in the conduct of either of said
businesses and transactions for others, and the owning
of all other property of every nature and description that
may be necessary and usual in and incident to
the business or businesses aforesaid.
Article 3.
The amount of capital stock of this corporation
shall be One Thousand ($1,000.00) Dollars divided
into one hundred (100) shares of Ten Dollars ($10.00)
each, and such shares of stock shall be paid for in
cash or in property, the value of which shall be
fixed and approved by the directors of said corporation.
Article 4.
Said corporation shall exist for the term of fifty
(50) years from the filing of its articles as required
by law.
Article 5.
The officers of said corporation shall be president,
vice-president, secretary and treasurer, the last two
of which offices may be held by one person and
such officers shall be elected by the board of
directors, and a board of three directors to be elected
by the stockholders.
The officers of said corporation who will conduct
the business thereof until those first election shall
be qualified are:
J.D. Stringfellow, President;
J. Ira Gore, Vice President;
H.B. Coe, Secretary and Treasurer; and,
J. Ira Gore, H.B. Coe and D.P. Davis are Directors.
Said officers and directors shall be first
elected at a meeting of said company as soon
after the issuance of Letters Patent as practicable
and thereafter said officers and directors shall
be elected annually on the first Monday in
February in each year, beginning with the year
1910.
Article 6.
Said corporation shall adopt an appropriate seal
and shall adopt bylaws for the government of its
affairs not inconsistent with the Articles of incor-
poration and the laws of the State of Florida
which by-laws may be amended or repealed as may
be provided therein.
Article 7.
The highest amount of indebtedness of liability to
which said corporation shall at anytime subject itself is
One Thousand Dollars ($1,000.00). |
