Florida Bank of Gainesville, under the following proposed charter,
the original of which is now on file in the office of the Secretary of
State of the said State of Florida.
     Witness our names this eight day of April,  A.D.  1910

          Proposed Charter of The Florida Bank of Gainesville.
     The undersigned incorporators hereby associate themselves together
for the purpose of becoming incorporated and forming a corporation under and
by virtue of the laws of the State of Florida, with and under the following
proposed charter:
                    Article I
Name:  The name of the corporation shall be The Florida Bank of Gainesville
and its place of business shall be in the City of Gainesville, in the County
of Alachua and State of Florida.
                    Article II
Business.  The general nature of the business to be transacted shall be
that of a general banking business, with powers incident thereto, as provided
by the Statutes of the State of Florida, and such incidental powers as may
be necessary to carry on the business of banking by discounting and
negotiating promissory notes, drafts, bills of exchange and other evidences
of debt; by receiving deposits: - by buying and selling exchange,
coin and bullion: by loaning money on personal and real security.
                    Article III
Capital Stock:  The amount of the capital stock of said corpora-
tion shall be $75,000.00 to be divided into 750 shares of the par value
of $100.00 each to be paid in cash.
                    Article IIII.
Term:  The term for which said corporation shall exist shall be ninety-
nine years.
                    Article V
Officers:  The business of said corporation shall be conducted by a
president, one or more vice-presidents, a cashier, an assistant
cashier and such other officers as the board of directors may authorize:
a board of directors consisting of not less than five nor more than
thirteen, the number to be determined by the by-laws, to be elected at the
annual meeting of stockholders to be held on the first Tuesday in January
of each year, but the date of the annual meeting may be changed by the
by-laws and such other officers and employees as the corporation
may authorize.  The board of directors may appoint subordinate officers and
employees with such powers, duties and terms of office as they may
prescribe or as may be provided by the by-laws, not inconsistent
with the banking laws.  The first meeting of the stockholders shall
be held on Friday, the 29th day of April,  A.D.  1910, at the office of
the Bank of Gainesville, Alachua County, Florida, for the
purpose of perfecting the organization of said corporation,
