adopting by-laws, determining the number of directors, and transacting
generally the business of the corporation. In the event that the by-laws should
provide for more than five directors, the number necessary to complete the
full board as therein provided, shall be elected at said meeting in April, and
shall serve until those elected at the first annual meeting in January shall
qualify. The first annual meeting of stockholders will be held at the Bank
in Gainesville, Florida at ten o'clock A.M. on the first Tuesday of January
A.D. 1911, for the purpose of electing officers, directors and such other
business as may properly come before the said meeting. The directors shall
be elected by the stockholders. Until the officers elected at the first annual
meeting of the stockholders shall qualify, the business of said corporation
shall be conducted by the following named officers: President, J.J. Haymans,
Vice-Presidents R.D. Medlin: J.W. McDowall, C.A. Faircloth; Cashier:
J. Morgan Fennell; Assistant Cashier:F.R. Hartsfield; The Board of
Directors shall consist of the following, and such others as may be elected
at the meeting to be held on the 29th day of April, A.D. 1910: J.J. Haymans,
J.W. McDowall, R.D. Medlin, C.A. Faircloth, J. Morgan Fennell.
Article VI
Indebtedness: The highest amount of indebtedness or other liability to
which the said corporation shall at any time subject itself shall not exceed
the amount of its capital stock at such time actually paid in and remain-
ing undimished by losses or otherwise, excepting the said company may
become indebted or liable to an amount not exceeding $2,500,000.00 on account
of demands of the natue following: Moneys deposited with or collected by
the company; bills of exchange, or drafts drawn against money on
deposits to the credits of the company, or due thereto; liabilities to the
stockholders of the company for dividends and reserved profits.
