     Given under my hand, and the Great Seal of the State of Florida, at

      Before me personally appeared, M.H. McClamrock, to me well known
who being first duly sworn, deposes and says:  That he is the Treasurer of the
Florida Irrigated Farm Company, and that ten (10) per cent of the Capital
Stock of said Company has been subscribed and paid.
