County of Alachua    }     for the State of Florida, at large, W.J. Denby
H.E. Charpia and J.W. Charpia, to me well known, and being
by me duly sworn, did each of them say that he acknowledges his
signature to the foregoing charter and that he signed the same for the
purposes therein expressed.

          To All whom These Presents Shall Come Greetings
Whereas, C.N. McArthur, W.J. Priest, S.A. Hussey  C.D. May.
J.F. Ruff, and S.P. Getzen on the twenty eight day of January  A.D. 1911
filed in the office of Secretary of State a proposed charter of a
corporation to be known as - NewBerry Machine and Motor Company - 
with a capital of Ten Thousand ($10,000.00) dollars, for the
purpose of manufacturing, buying, selling, renting, exchang-
ing and repairing, storing and caring for automobiles, bicycles,
motorcycles and aeroplanes, and other machinery of any
and every description; to manufacture, buy, sell and deal
in automobiles, bicycles, motorcycles and aeroplanes, fixtures,
accessories, byproducts, and parts of every nature and kind
whatever; to manufacture, buy, sell, and deal in gas and gasoline
engines, marine engines, and electric motors and dynamos; to
buy, own, and sell stock securities, or obligations of other
corporations; to hold, buy, convey sell and mortgage any
