corporation, but temporary bylaws may be adopted at the first meeting of stock-
holders until the first election and until their successors shall be qualified
the following persons shall constitute the Board of Directors:  Bailey F. Williamson
Charles G. King and Henry W. Farnum and until such first election the business
of said corporation shall be conducted by said Board of Directors consisting
of said Williamson, King and Farnum, and by the following Officers

          Henry W. Farnum               Vice President
          Charles G. King               Secretary
          Charles G. King               Treasurer

VII.  The largest amount of indebtedness or liability to which this corpora-
tion shall at any time subject itself is $350,000.

Of Illinois, do hereby certify that Bailey F. Williamson, Charles G. King
and Henry W. Farnum, who are to me well known, this day appeared before

of Incorporation and the accompany notice, for the uses and purposes
therein stated.

Cook, Do hereby certify that I am the lawful custodian of the Official
records of Notarial Public of said County, and as such officer am duly
authorized to issue certificates of magistracy, that Willard L. Brooks
name is subscribed to the annexed Jurat, was, at the time of signing the same
a Notary Public in Cook County, duly commissioned, sworn and acting
as such, and authorized to administer oaths, and to take acknowledgments
and proofs of deeds or conveyances of lands tenements or hereditaments in said
State of Illinois, all of which appeals from the records and files in my
Office that I am well acquainted with the handwriting of said Notary,
and verily believe that the signature to the said Jurat is genuine.
