          Proposed Charter of the Gainesville Grocery Company.
     We, the undersigned hereby associate ourselves together
for the purpose of being incorporated and becoming a cor-
poration under and by virtue of the Laws of the State
of Florida, with and under the following proposed
charter:
I.  The name of the corporation shall be the Gainesville
Grocery Company and the business thereof shall be carried
on in the State of Florida and in such other States of the
United States and foreign Countries as shall be deemed
necessary or expedient.
     The principal place of business shall be Gainesville,
Alachua County, Florida.
II.  The general nature of the business to be transacted
shall be to buy, acquire, purchase or otherwise own, hold,
develop, manage and deal in real, personal and mixed
property of every kind or interest therein; to sell, rent lease,
mortgage, pledge, exchange, convey, transfer, dispose of
or encumber any and all of said property or any interest
therein or any increment thereof; to borrow money and
if necessary to secure the payment thereof by mortgage
pledge bill of sale, notes, bonds, deeds or other
obligations; to loan money, with or without security
or to secure the payment of the same by notes,
mortgages, pledges or other obligations; to act as the
agent, factor, broker or representative of any person or
persons, firm or corporation, or for their agents or
representatives, in the purchase, sale, management,
care or maintenance, of any property, real or per-
sonal; to subscribe for, purchase, own, receive, sell
mortgage, pledge, or exchange or in anywise deal in and
dispose of bonds, stock, shares, profit sharing certificates,
notes, warehouse receipts, bills of lading or other obliga-
tions of property of either kind of any person, firm
or corporation, and while the holder thereof to exercise
all the rights, powers and privileges of ownership thereof
and exercise any voting power thereof, except in Case
of stock of this company and to transact any business
in connection therewith or pertinent thereto; to issue
the capital stock, bonds, notes or other obligations of this
company in payment or exchange for any property
it may purchase or acquire; to carryon and 
conduct a general wholesale grocery and produce
business and further to do such business as shall 
be reasonably necessary and incidental to its business
as a wholesale grocery company or to protect itself in
the event it has to take possession of property or
